Robert Musoke is a founding Partner at TASLAF Advocates and the head of the firm’s corporate and commercial department. A former senior tax advisor at KPMG and Grant Thornton with previous experience in a leading law firm, Robert possesses extensive experience in a wide range of transactions, banking, finance and corporate arrangements including insolvencies, restructuring, mergers and acquisitions, with a finance and taxation element.

He has the unique ability to handle a diverse range of client matters across various sectors and industries, including real estate and land transactions, employment and labour, immigration, mortgage financing and chattels, insurance, energy, mining and oil and gas. 

Robert is well known for his ability to provide a thorough and practical evaluation to legal matters in a calm and detail oriented manner, which makes him a favourite with our clients. He is a practicing advocate and currently advises major corporate entities and international institutions including the financial support arm, of a leading social business entity.

Transactional Experience

Corporate & Commercial

  • Lead advisor of the KPMG team on a legal audit of the share capital structure of the East African Development Bank, establishing the shares held by each of the East African Community partner States for issuance of their share certificates.
  • Acting as Company Secretary in various legal entities including: Mpanga Hydro Limited; Yunus Social Business Foundation Uganda; Wollstra Engineering Limited; SAEMS Hydro Limited; Insight Creations Limited; Bakhresa Grain Milling (Uganda) Ltd; Energy Management Systems; and, London Distillers Uganda.
  • Lead corporate advisor for several multinational corporations, including: Innovis Telecom Services International; Mbale Tuff Foam; UNEECO Uganda (subsidiary to AMEECO Kenya); Kalpataru Power Transmission; SAEMS Hydro Limited; Uganda Biodiversity Trust Fund; Mbale Cement Limited; and, Mpanga Hydro Limited.
  • Providing advice and training to the local team of BDO - East Africa on the new changes in the Companies Act 2012.
    Advising on the set-up of the Zenitaka- Hyundai Joint Venture to construct a USD 125 Million Cable-Stayed bridge on River Nile in Jinja Eastern Uganda.

  • Advising and reviewing human resource manuals for a number of corporate entities and international organizations, including: Plan International; Wildlife Conservation Society; Peripheral Vision International; Yunus Social Business Foundation Uganda; Grameen Foundation in Uganda; JSI Research & Training Institute; War Child Canada; Handicap International and, Trocaire Uganda.
  • Advising War Child Canada, JSI Research & Training Institute, Plan International on employment matters including disciplinary proceedings and negotiations and settlement of terminations.

Non-Profits & Impact Finance

  • Advising Yunus Social Business on capitalization of accrued interest amounts on a loan facility extended to one of their entrepreneurs.
  • Acting as legal counsel to the Grameen Foundation in Uganda.
  • Advising Grameen Foundation of Uganda on the legal structuring considerations on the proposed corporate spin-off of the CKW Project from the Grameen Foundation of Uganda.

Managing and Advising on Tax Objections and Assessments

  • Advising the following clients on estimated or additional assessments raised by the URA: The Rangers t/a Betway; Programme for Accessible Health Communication and Education (PACE Uganda); ABB Uganda; International Centre for Transitional Justice; War Child Holland; and, JSI SPRING Project.

Managing and/or Preparing for Uganda Revenue Authority (URA) Tax Audits

  • Advising the following entities on routine and comprehensive tax audits conducted by URA: ABB Uganda; Libya Oil; Plan International; War Child Canada; Cross-Cultural Foundation Uganda; Weatherford International; Lake Eco; and, Unioil Uganda Limited.

Conducting Tax Audit Health Checks

  • Advising the following clients in regards to their tax health checks: Food for the Hungry; John Snow research & Training; Danish Refugee Council; War Child; Holland; Zoa International; and, Great Lakes Coffee.

Tax advisory and representation 

  • Advising an international importer on a Value Added Tax (VAT) additional assessment worth UGX 2 Billion raised by URA on the company’s in-bond sales.
  • Advising an international petroleum products distributor on an income tax assessment worth 1.5 Billion objection for capital gain tax raised by URA on its share capital consolidation.
  • Advising an international non-profit on a tax refund worth UGX 500 Million wrongfully collected by URA by third party agency notice.
  • Advising an international non-profit regarding a confirmation of its tax benefits and privileges under the Development Objective Assistance Agreement by the Ministry of Finance.
  • Advising an international waste management company on the capital deduction tax and accounting treatment of a landfill under construction in the Albertine Graben Region of Western Uganda. The project is estimated at USD 13.6 Million to handle industrial and hazardous wastes for the oil drilling operations in the region.
