Our firm has developed the leading specialist not-for-profit advisory firm in the East African region. We advise and assist entities that are registering as non-profit organisations in Uganda. These include branches of foreign entities or organizations that are being incorporated in Uganda. We have a deep understanding of not-for-profit practice and have established working relationships with leading government entities including the NGO Board and other government ministries.


Our pioneer impact finance legal practice provides a wide range of legal services to clients seeking to achieve positive social and environmental impact alongside financial returns.

We currently act as counsel to impact investment funds in the Financial Inclusion & Microfinance, Renewable Energy, Health, Housing, Agriculture, Water & Sanitation and Education sectors. We advise right from fundraising from limited partners, setting up the fund structure, signing non-disclosure agreements, performing due diligence on target companies, structuring the deals as financial and tax advisers, managing compliance issues, and exiting the investments.

We recently advised on a USD 21M investment into a dairy farm and processing plant and have in the past advised an impact investor seeking to leverage financing in the coffee processing while supporting small holder farmers in the Rwenzori Region.

Currently, we are advising on a pilot Social Impact Bond - a unique investment product, structured as a fund, which directs private-sector money to fund public sector projects. This will be the first Social Impact Bond in East Africa.


At the heart of social enterprise law is the need to create sustainable businesses while also advancing specific humanitarian, social-economic, environmental or other social causes. This new area is growing on the African continent and is poised to be the driver of economic growth.  We act as trusted advisors to some of our clients’ management teams.

We have been consulted by the leading social enterprises on the African continent. We provide counsel from both a business and legal perspective and can handle virtually any transaction that involves any combination of non-profit groups and for-profit businesses such as corporate foundations, joint ventures (where the not-for-profit entity is a partner), commercial co-ventures (where the non-profit is a beneficiary), and for-profit spin-offs.


Our pro bono arm offers free legal advisory services to social enterprises in their start-up stage. We also offer pro-bono services to international and local social businesses through our partnership with Trust Law, the biggest pro-bono legal program in the world, run by the Thomson Reuters Foundation.  

Our work with Trust Law has led us to assist various high impact non-profits, for example Wana Energy Solutions.
